Marketability Discounts and Risk in Transactions Prior to Initial Public Offerings

It is generally accepted that marketability has value and that stocks lacking marketability are worth less than marketable shares. Studies of private transactions of unlisted securities prior to initial public offerings (IPO's) provide evidence of discount for lack of marketability.
